Terms of Service

Last Updated: October 16, 2026 • Effective Immediately

1. Agreement to Terms & Non-Recourse Protection

This Terms of Service agreement (“Agreement”) is entered into by and between you (“User” or “you”) and T-Warp Collective LLC(“Operator”, “Company”, “we”, “us”, or “our”). By accessing the website, utilizing interactive prototype tools, submitting pre-orders, or clicking any checkbox indicating assent, you agree to be bound by this Agreement and our Privacy Policy.

NO PERSONAL RECOURSE: YOU EXPRESSLY AGREE THAT THIS AGREEMENT IS SOLELY BETWEEN YOU AND T-WARP COLLECTIVE LLC. UNDER NO CIRCUMSTANCES SHALL ANY INDIVIDUAL FOUNDER, OWNER, OFFICER, DIRECTOR, EMPLOYEE, OR CONTRACTOR HAVE ANY INDIVIDUAL OR PERSONAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THE SERVICE.

2. Nature of Service & Industry-Specific Disclaimers

Snap-to-Invent provides automated administrative productivity software and prototype technology for household moving and storage itemization. Portions of the Service operate as experimental software to demonstrate workflows and validate consumer demand.

  • No Bailee or Cargo Insurer Status (Moving & Storage): Company is NOT a warehouseman, bailee, professional mover, or cargo insurer. Company does not take custody, care, or control of your physical belongings. Company assumes no liability for lost, stolen, damaged, or broken physical household goods or storage items.
  • No Insurance Appraisal or Legal Valuation: Output ledgers, estimated valuations, or inventory summaries generated by AI vision or user inputs are administrative conveniences. They do not constitute certified insurance appraisals, underwriting valuations, or formal proof of loss for insurance claims.
  • No Guaranteed OCR or Vision Perfection: Computer vision and machine learning models may misidentify objects, miss packed items, or hallucinate text. You are solely responsible for reviewing and verifying all generated box lists before printing labels or closing boxes.

3. Billing, $1 Pre-Orders, Subscriptions & Refund Policy

1. $1 Validation Pre-Orders & Deposits: Pre-order reservation deposits ($1.00 USD) are collected via Stripe to validate market demand. Validation pre-orders are 100% refundable at any time prior to official commercial launch. To request a refund, submit a request via our in-app feedback channel. Refunds are credited to the original payment method within 5–10 business days.

2. Recurring Subscriptions & Auto-Renewal: Paid subscription tiers (e.g. Home & Storage Vault at $79/yr or Pro Organizer at $249/yr) renew automatically at the end of each billing cycle (monthly or annually) at the then-current standard rate, unless canceled prior to the renewal date. You may cancel your subscription at any time via your in-app account portal (“Click-to-Cancel”) or by contacting support. Cancellation halts future charges; past partial billing periods are non-refundable.

3. Chargebacks & Disputes: If you initiate an unwarranted bank chargeback without prior notice, Company reserves the right to immediately terminate access and assess reasonable administrative collection fees.

4. Disclaimer of Warranties (“AS-IS” & “AS-AVAILABLE”)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED STRICTLY ON AN “AS-IS” AND “AS-AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SYSTEM AVAILABILITY, UPTIME, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR STORAGE OR MOVING REQUIREMENTS; (B) OUTPUTS, EXPORTS, OR GENERATED MATERIALS WILL BE ERROR-FREE; OR (C) RESULTS PRODUCED BY THE SERVICE WILL GUARANTEE INSURANCE REIMBURSEMENT OR MOVER REIMBURSEMENT.

5. Strict Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

EXCEPT IN CASES OF INTENTIONAL FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE, IN NO EVENT SHALL COMPANY, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST GOODS, DAMAGE TO PHYSICAL PROPERTY, MOVER DISPUTES, SYSTEM DOWNTIME, OR DATA LOSS).

OUR TOTAL AGGREGATE LIABILITY ARISING FROM ALL CLAIMS RELATING TO THE SERVICE SHALL BE STRICTLY LIMITED TO THE LESSER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD); PROVIDED THAT IF YOU USED A FREE TRIAL, PROTOTYPE DEMO, OR PAID NO FEES, OUR MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED TEN UNITED STATES DOLLARS ($10.00 USD).

6. User Responsibilities & Mandatory Indemnification

You agree that you are solely responsible for: (A) the accuracy of all photographed items, labels, box contents, and data submitted; (B) maintaining independent personal property insurance for high-value items; and (C) backing up your exported box inventories.

Indemnification (“Hold Harmless”): You agree to defend, indemnify, and hold harmless Company, its officers, affiliates, and contractors from and against any third-party claims, lawsuits, administrative penalties, liabilities, losses, costs, or legal fees arising out of: (i) your violation of these Terms; (ii) your violation of any third-party right or applicable law; (iii) the loss, theft, damage, or transport of physical items inventoried; or (iv) any dispute between you and third-party moving companies, landlords, or storage facilities.

7. Dispute Resolution, Mandatory Binding Arbitration & Class Action Waiver

Any dispute, claim, or controversy shall be resolved exclusively through confidential binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Rules solely if the User is an incorporated entity), except as modified herein.

CLASS ACTION WAIVER: ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Either party may elect to bring an individual action in a small claims court of competent jurisdiction.

Equitable & IP Carve-Out: Company retains the right to seek preliminary injunctive or equitable relief in any court of competent jurisdiction to prevent unauthorized access, scraping, or infringement of intellectual property.

30-Day Opt-Out: You may opt out of this arbitration agreement within thirty (30) days of first accessing the Service by emailing support with your clear written opt-out notice.

8. General Contract Safeguards (Severability, Merger, IP & Limitations)

Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Entire Agreement (Merger Clause): This Agreement and our Privacy Policy constitute the sole and entire agreement between the parties regarding the Service and supersede all prior marketing representations, discussions, or collateral warranties, whether oral or written.

Feedback & IP Reservation: The Service, algorithms, UI designs, and code are proprietary to Company. If you provide feature suggestions or feedback, you grant Company a perpetual, irrevocable, royalty-free worldwide license to implement and commercialize such feedback without restriction or compensation.

One-Year Limitation on Claims: You agree that any claim or cause of action arising out of or relating to the Service must be filed within one (1) year after such claim arose, or be forever barred.

Force Majeure: Company shall not be liable for any delay or failure in performance resulting from acts of God, cloud infrastructure failures (e.g., Vercel, Supabase, Stripe, AI model providers), cyberattacks, or disputes beyond our reasonable control.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of laws principles.

Modifications to Terms: Operator reserves the right to update or modify these Terms with prospective effect by publishing revisions to this page with an updated effective date. For any material changes affecting pre-orders or active paid subscriptions, reasonable advance notice will be provided via email or in-app notification prior to renewal.
